Terms and Conditions

1 Scope
(1) These Terms apply to all contracts for digital products, in particular workbooks, templates, guides and checklists (such as the “Costing Kit”), offered by Bauch Food Concept GmbH, Wittenbecker Landweg 69, 18225 Kühlungsborn, Germany (“we”) via bauchfood.com.
(2) Customers may be consumers or businesses within the meaning of sections 13 and 14 of the German Civil Code (BGB).
(3) Any differing terms of the customer do not apply unless we expressly agree to them in writing.
(4) Consulting, workshops and individual assignments are not covered by these Terms and are subject to separate agreements.
2 Purchases through a payment provider acting as reseller
(1) If the customer buys through the checkout of a payment provider acting as reseller (for example Paddle, Stripe or Digistore24), the purchase contract is concluded with that reseller, and its terms apply to ordering, payment, invoicing and refunds.
(2) Irrespective of the contracting party, sections 6 to 10 of these Terms apply to the content of the products, usage rights, updates and our liability.
3 Conclusion of contract for orders placed directly with us
(1) Products shown on the website do not constitute a binding offer but an invitation to order.
(2) The customer makes a binding offer by sending us an order by email or order form, stating the product and country edition, name and address and, for businesses, the company name and VAT number if available.
(3) The contract is concluded when we confirm the order by email or send the invoice. The confirmation contains the contract terms, these Terms and the withdrawal information. We store the contract text.
(4) The contract language is German. English versions are provided for information; the German version prevails.
4 Prices and payment
(1) The price shown on the website at the time of order applies. It is a final price including statutory VAT. The same price applies to every country edition.
(2) For orders placed directly with us, the invoice is payable by bank transfer within 14 days without deduction. For purchases through a payment provider, the payment methods offered there apply.
5 Delivery
(1) Products are delivered digitally only, as an email attachment or download link.
(2) For orders placed directly with us, we usually deliver within one working day of the contract being concluded, and at the latest within five working days.
(3) The Costing Kit requires spreadsheet software that supports the .xlsx format and its standard functions, for example Microsoft Excel 2016 or later, LibreOffice Calc 7 or later, Apple Numbers or Google Sheets. Display may vary slightly between programs.
6 Usage rights
(1) Upon full payment, the customer receives a simple, non-transferable and perpetual right to use the product for the purposes of their own business, including all of its sites and employees. Consumers may use the product for private purposes.
(2) The customer may adapt, extend and print the product for their own purposes.
(3) The customer may not pass on, resell, rent out or publish the product or any part of it, or use it for third parties, for instance as a consultancy, agency or association for its clients or members. A separate licence is available on request.
(4) Copyright and origin notices must not be removed.
7 Content of the products; no advice
(1) The products contain calculation models, sample figures and guide values from consulting practice. Sample figures are model values; guide values are not official limits.
(2) VAT rates, minimum wages and other statutory values reflect the date stated. They may change and must be checked by the customer before use.
(3) The products do not replace individual advice, in particular tax or legal advice. Decisions based on the calculations are the customer's own responsibility.
8 Updates
(1) We provide consumers with the updates necessary to keep the product in conformity with the contract during the relevant period (section 327f BGB) and inform them about such updates.
(2) The price of the Costing Kit also includes the update of country settings (VAT rates and minimum wages) for 2027, which we will send to the email address given with the order by 31 March 2027 at the latest.
9 Rights in case of defects
Statutory rights apply. For businesses, the limitation period for claims for defects is one year from delivery; this does not apply to claims under section 10(1).
In addition, we offer the working guarantee set out in our refund policy.
10 Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee given.
(2) In the event of a slightly negligent breach of an essential contractual obligation, our liability is limited to the typical, foreseeable damage. Otherwise, liability for slight negligence is excluded.
(3) These limitations also apply to our legal representatives and agents.
11 Right of withdrawal
Consumers have a statutory right of withdrawal. Details, including its early expiry for digital content, are set out in our withdrawal information. Businesses have no right of withdrawal.
12 Dispute resolution
We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
13 Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of their country of habitual residence.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is the registered office of Bauch Food Concept GmbH.
(3) Should individual provisions be invalid, the validity of the remaining provisions is unaffected.
